BEIJING, June 4 /Xinhua-PRNewswire-FirstCall/ -- Beijing Baolong Logistics Company Limited, a China company (the "Company"), confirmed today that any merger or transfer of assets of the Company to CBL (China Baolong Logistics Company Limited; “CBL”) was never consummated pursuant to Chinese law. Consequently, the assets and operations of the Company have never been merged with, or become part of, CBL. According to a press release and filings with the United States Securities and Exchange Commission, the assets and operations of the Company were subsequently transferred to, and reported with, a company now known as Beijing Logistics, Inc. (formerly Best Care, Inc., a Nevada corporation) (OTC Bulletin Board: BJGLE), which claims to have acquired such operations and assets through a merger with CBL. The Company has information that the merger between CBL and Beijing Logistics, Inc. has also been rescinded and deemed void, ab initio (as if never entered into) on April 29, 2008.
Management of the Company that were reported to be officers or directors of Beijing Logistics, Inc. have each resigned any position with such company effective on April 29, 2008, and have no further affiliation or relationship with Beijing Logistics, Inc. As of April 29, 2008, the officers, directors and shareholders of the Company have no relation to Best Care or Beijing Logistics, Inc. As a consequence of the foregoing rescissions, terminations and resignations, the financial statements of the Company are not the financial results of Beijing Logistics, Inc., Best Care, Inc. or CBL and should not be used by investors, shareholders or others in connection with any evaluation of Beijing Logistics, Inc., Best Care, Inc. or CBL.
The Company continues to operate as a 100% privately-owned Chinese company, with offices in No. A156, Xi Guo Yuan, Yong Shun Village, Tongzhou District, Beijing, P.R.China. Company management continues to be employed in China by the Company, and is not affiliated with or related to Beijing Logistics, Inc., Best Care, Inc. or CBL.
